To be eligible to enter and win Summer Project Contest (the "Contest"), each “Entrant” must be at least twenty-one (21) years old at the time of entry. Employees of Skillshare and other companies associated with the promotion of the Contest, and their respective parents, subsidiaries, affiliates and advertising and promotion agencies as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible.
The Contest is sponsored by Skillshare, located at 35 East 21st Street, 5th Floor/ New York, NY 10010.
3. Agreement to Official Rules
Participation in the Contest constitutes entrant's full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor, which are final and binding. Winning a prize is contingent upon being compliant with these Official Rules and fulfilling all other requirements set forth herein.
4. Contest Period
The Contest begins on June 14, 2019 at 12:00 AM EST and ends on July 11, 2019 at 11:59 PM EST (the "Contest Period"). Entries that are submitted before or after the Contest Period will be disqualified.
5. How to Enter
To enter the Contest, user must upload a project (“Entry”) to www.Skillshare.com [update with link] within the Contest Period. This method of entry will be available by visiting any class page from the 10 Contest classes and following the directions provided to upload your project or by visiting www.Skillshare.com/Projects [update] and uploading a project through the Create A Project button.
All entries become the property of Sponsor and will not be acknowledged or returned. Entries may not contain content that is obscene, lewd, defamatory, pornographic, hateful or discriminatory, violates these Official Rules, or violates or infringes (or may infringe) any copyright, trademark, logo, mark that identifies a brand, or other personal or proprietary right of any person living or deceased (including but not limited to rights of privacy or publicity or portrayal in a false light) or entity, or is otherwise objectionable. Any Entry that, in Sponsor’s sole determination, violates the terms and conditions set forth in this paragraph or any other part of the Official Rules may be disqualified and the Entrant submitting the Entry may be disqualified from any further participation in the Contest. Each Entrant agrees to indemnify and hold harmless the Released Parties from any and all lawsuit, damages, claims, losses, liabilities, or expenses (including court costs and attorneys’ fees) arising out of the Released Parties’ use of that Entrant’s Entry.
If it is discovered by the Sponsor (using any evidence or other information made available to, or otherwise discovered by, the Sponsor) that any Entrant has attempted to use (or attempt to use) multiple names, identities, email addresses and/or any automated, macro, script, robotic or other system(s) or program(s) to enter or otherwise participate in or disrupt this Contest, that person may be disqualified from the Contest, and any future contests of the Sponsor, in the sole discretion of the Sponsor. All Entries will be declared invalid if they are late, illegible, incomplete, damaged, irregular, forged, garbled, or mechanically or electronically reproduced.
In consideration of their entry into this Contest, each Entrant irrevocably assigns and transfers to the Sponsor any and all rights, title, and interest in the Entry including, without limitation, all copyright in any Entry. The Sponsor shall have the right to edit or modify Entries for use in perpetuity and the Entrant waives any and all moral rights that he/she may have in the Entry. Each Entrant irrevocably confirms that no third party was involved in the creation of the Entry.
6. Prize Drawing
On or about August 1, 2019, the Sponsor will select ten (10) winners among all eligible entries received. The Sponsor will attempt to notify the potential winners via telephone or email. If the potential winner cannot be contacted or does not respond within five (5) days after the date of the first point of contact (or attempt) by the Sponsor, he/she will be considered to have forfeited his/her respective Prize and will be disqualified and another Entrant may be selected from the remaining eligible Entries until such time as contact is made with each Selected Entrant, there are no more eligible Entries, or there is insufficient time to award a Prize, whichever comes first. The Contest Sponsor will not be responsible for failed attempts to contact any Selected Entrant.
7. Winner Notification
The winners will be notified by email. Upon successful contact with a Selected Entrant, that Selected Entrant will be required to provide certain contact information, as requested by the Sponsor (e.g., full name, email address). If Selected Entrant does not comply with all terms and conditions of these Official Rules or provide the necessary contact information within the time frame specified, that Selected Entrant will forfeit his/her Prize and the Sponsor shall be entitled (but not obligated) to select another Entrant from the remaining eligible Entries until such time as contact is made with an Entrant or there are no more eligible Entries, whichever comes first. This process may continue until each Prize has been awarded or there is insufficient time to permit the awarding of a. In the event that a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by selecting from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Prizes will be fulfilled approximately 1-4 weeks after the conclusion of the Contest.
Ten (10) year-long Skillshare Premium Memberships and three (3) $250 art supply gift cards will be awarded during this Contest (each, a “Prize”, collectively, the “Prizes”). The approximate retail value of each membership is $99.00, for a total of $1740.00 across all Prizes. The winner of the Prizes (“Prize Winners”) is not entitled to any difference between the actual value of a Prize and the approximate retail value of that Prize as stated herein.
All incidental costs and expenses associated with a Prize that are not specifically referred to herein, are the sole responsibility of Prize Winner. Prize Winners must follow all directions of the Sponsor with respect to the Prize or any aspect thereof. Failure to do so may result in termination of participation, or continued participation, in the Prize or any aspect thereof. Prize Winners acknowledge and accept all risk of damages, injury or other loss incidental to any Prize and hereby voluntarily agrees to assume the same. Each Prize must be accepted as awarded, without substitution, and is not transferable, refundable, for resale or convertible to cash. The odds of winning a Prize will depend on the number of eligible Entries received during the Sweepstakes Period.
Winning entries will be chosen by a panel of judges based on the following criteria: composition, originality, technical execution, visual appeal, and impact.
10. General Conditions
In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, including, but not limited to fraud, virus, bug, worm, unauthorized human intervention or other technical problem, or in the event the Contest is unable to run as planned for any other reason, as determined by Sponsor in its sole discretion, the Sponsor may, in its sole discretion, either (a) suspend the Contest to address the impairment and then resume the Contest in a manner that best conforms to the spirit of these Official Rules or (b) terminate the Contest and, in the event of termination, award the prize at random from among the eligible, non-suspect entries received up to the time of the impairment. The Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Contest or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to damage the website or undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney's fees) and any other remedies from any such person to the fullest extent permitted by law. Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision.
11. Release and Limitations of Liability
By participating in the Contest, entrants agree to release and hold harmless the Sponsor, and each of their respective parents, subsidiaries, affiliates, advertising and promotion agencies, other companies associated with the Contest, and each of their respective officers, directors, employees, shareholders, representatives, and agents (the Released Parties) from and against any claim or cause of action arising out of participation in the Contest or receipt or use of the prize (including any travel or activity related thereto), including, but not limited to: (a) any technical errors associated with the Contest, including lost, interrupted or unavailable Internet Service Provider (ISP), network, server, wireless service provider, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone, cellular tower or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties; (b) unauthorized human intervention in the Contest; (c) mechanical, network, electronic, computer, human, printing or typographical errors; (d) application downloads, (e) any other errors or problems in connection with the Contest, including, without limitation, errors that may occur in the administration of the Contest, the announcement of the winner, the cancellation or postponement of the event and/or the flyover, if applicable, the incorrect downloading of the application, the processing of entries application downloads or in any Contest materials; or (f) injury, death, losses or damages of any kind, to persons or property which may be caused, directly or indirectly, in whole or in part, from entrants participation in the Contest or acceptance, receipt or misuse of the prize (including any travel or activity related thereto). Entrant further agrees that in any cause of action, the Released Parties liability will be limited to the cost of entering and participating in the Contest, and in no event shall the entrant be entitled to receive attorney's fees. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Entrant waives the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages.
Except where prohibited, each entrant agrees that any and all disputes, claims and causes of action arising out of, or connected with, the Contest or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in New York. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrants rights and obligations, or the rights and obligations of the Sponsor in connection with the Contest, shall be governed by, and construed in accordance with, the laws of New York, without giving effect to any choice of law or conflict of law rules, which would cause the application of the laws of any jurisdiction other than New York.
By accepting the Prize, each Winner grants to the Sponsor the right to use his/her name, username, biographical information, image, photos and/or likeness and statements for programming, promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered, worldwide, including but not limited to on television, video, the World Wide Web and Internet, without notice, review or approval and without additional compensation, except where prohibited by law.
