Skillshare Teacher Referral Program Terms and Conditions

Effective April 1, 2022

The Skillshare Teacher Referral Program (the “Program”) Terms and Conditions (the “Referral Terms”) are in addition to the Skillshare Terms of Service and Privacy Policy, which you agree to by using the Skillshare.com website, including uploading courses to the site and maintaining your Skillshare account. To the extent the Skillshare Terms of Service are inconsistent with these Referral Terms, these Referral Terms will control with respect to the Program only.

By participating in the Program, you are agreeing to the Referral Terms. Skillshare reserves the right to terminate, cancel, suspend or modify the Program or these Referral Terms at any time, in its sole discretion by updating the terms. If a significant change is made, we will provide reasonable notice either by email or posting a notice in the Teacher Dashboard. You are advised to check the Referral Terms from time to time for any updates or changes that may impact you.

Introduction

The Skillshare Teacher Referral Program is a revenue sharing plan applicable to Teachers that introduce Skillshare to a new student (“Referred Student”) using one of the Teacher’s specific referral links. Under the Program, a Teacher is entitled to a percentage of certain revenue received from a Referred Student with Skillshare being entitled to the remaining percentage. A description of the current revenue share percentages applicable to Teachers and how it is calculated is available here. Skillshare reserves the right to revise the revenue share applicable to the Referral Program, and any ongoing obligations to receive revenue share from time to time, at its sole discretion, upon reasonable prior notice to Teacher. Such notice will be provided by email or by posting in the Teacher Dashboard.

Revenue Share

Unless otherwise agreed to in writing by Skillshare, under the Program, when a Referred Student is referred by a Teacher to Skillshare and becomes a paid subscriber, Teacher will receive a portion of the subscription revenue received from such Referred Student. To qualify as a Referred Student, the student must be new to Skillshare and must not have been a previous subscribing member.

How it Works

On a monthly basis, we calculate the gross amount of the fees actually received by Skillshare in that month from Referred Students ("Membership Payments"). From this, we subtract any transaction taxes paid by Referred Students as well as any refunds processed in that month for Referred Students ("Net Membership Payments"). After we have calculated the Net Membership Payments and performed necessary risk and abuse checks, you will receive a percentage of the Net Membership Payments (“Referral Earnings”).

Refunds

You acknowledge and agree that students may have the right to receive a refund, as detailed in the Terms of Service or our Refund Policy. You will not receive any referral earnings from transactions for which a refund has been granted under our policies. You also acknowledge that we have the right to change our Refund Policy without notice to you. You are advised to check the Refund Policy from time to time for any updates or changes that may impact you.

Special Promotions

From time to time, Teachers may be offered special promotions ("Special Promotion"), and special links or coupon codes to use. These Special Promotions may be offered to some, but not all Teachers, depending upon your status, your geographic location, or for other reasons, including referrals for our Skillshare for Teams product. Such Special Promotions are for a limited time and will give Teachers (and in some cases, Referred Students) additional perks and rewards. Additional terms, including expiration dates for any Special Promotion will be provided with the Special Promotion.

Receiving Payments

You will get paid your Referral Earnings, in arrears, on the 16th of each month. Skillshare makes all instructor payments, including your Referral Earnings, in U.S. dollars (USD) regardless of the currency with which the sale was made. Skillshare is not responsible for your foreign currency conversion fees, wiring fees, or any other processing fees that you may incur. For us to pay you in a timely manner, you must be registered with Tipalti, our payment processor, in good standing and must keep us informed of the correct email associated with your account. You must also provide any identifying information or tax documentation (such as a W-9 or W-8) necessary for payment of amounts due, and you agree that we have the right to withhold appropriate taxes from your payments. We reserve the right to withhold payments or impose other penalties if we do not receive proper identifying information or tax documentation from you. You understand and agree that you are ultimately responsible for any taxes on your income.

Inappropriate Behavior

Skillshare reserves the right to (i) request and receive information from Teacher about any Referred Students, including but not limited to information with respect to traffic sources and methods used to acquire the Referred Student, and (ii) assess the legitimacy and qualification of such Referred Student for the purposes of determining whether Referral Earnings are payable for such Referred Student.

Skillshare may prohibit anyone from participating in the Program or receiving Referral Earnings if it determines such Teacher or Referred Student is attempting to undermine the fairness, integrity or legitimate operation of the Program in any way by cheating, hacking, deception, or any other unfair practices intending to annoy, abuse, threaten or harass any other Skillshare users, or representatives of Skillshare or causing annoyance, abuse, threats, harassment of any Skillshare users or representatives of Skillshare. Skillshare reserves the right to disqualify anyone, cancel Referral Earnings, disable or suspect an account, and contact legal authorities (including law enforcement), if it should discover a user is tampering with the entry or referral process or the operation of the Program or violating these Terms, in its sole discretion. Referrals generated by a script, macro or other automated means will be disqualified. If a solution cannot be found to restore the integrity of the Program, we reserve the right to cancel, change, or suspend the Program.

Actions which could give rise to Skillshare voiding your Referral Earnings, terminating your eligibility to earn Referral Earnings, or terminating your account, or the accounts of Skillshare members you refer, include, but are not limited to:

  • Opening multiple accounts, including with different email addresses, for the same person in order to generate additional Referral Earnings;
  • Referring students using spam or mass emails, texts or messages, automated bots display advertising, sponsored links, unsolicited emails, or links on message boards or forums;
  • Using false names, impersonating other people, or otherwise providing false or misleading information to us;
  • Offering any incentive to others to register new accounts;
  • Acting in a manner that does not respect the spirit of the Program or engaging in any actions that are designed to disrupt or undermine the Program;
  • Engaging in behavior designed to annoy or harass others;
  • Engaging in actions that disparage or malign or call into question the reputation of Skillshare, in Skillshare’s sole discretion;
  • Violating these Referral Terms or any other of Skillshare’s existing or future policies or terms and conditions in any way; or
  • Participating in the Program if doing so would be prohibited by any applicable laws or regulations.

Participation in the Program may require a Referred Student and/or a Teacher to submit personal information about themselves. The personal information will be collected, processed and used in accordance with Skillshare’s Privacy Policy. In addition, personal information may be used by Company on Company's behalf, to contact Teachers or Referred Students with regards to participation in the Program and to receive communications from Skillshare or third party administrators of the Program.
